ASSUMPTION AGREEMENT

SECTION 1. INTRODUCTION
This Assumption Agreement ("Agreement") is entered into by and between Tag 9 Inc. ("Company," "we," "us," "our") and the individual or entity agreeing to these terms ("Client," "you," "your"). By purchasing any service, enrolling in any program, or accessing any platform operated by Tag 9 Inc., you acknowledge and agree to the following terms and conditions.
Tag 9 Inc. provides economic consulting, business intelligence, business formation support, market research, and personal development services. Our services are designed for adults aged 18 and older who are seeking business ownership, economic advancement, or personal transformation.

SECTION 2. SERVICES PROVIDED
Tag 9 Inc. offers the following categories of services:
Business Intelligence and Market Research: Economic Audit (Tri-Score), Territory Intelligence Reports, market analysis, ZIP code demand validation, and competitive positioning powered by Palantir Foundry.
Business Formation and Compliance: LLC formation support, EIN registration, registered agent services, compliance monitoring, and business structure consulting.
Business Growth and Funding Readiness: Business credit strategy, CDFI connections, funding preparation, government contract readiness (SAM registration and bid strategy), and import/export consulting.
Industry-Specific Programs: Box Truck Empire (transportation), Courier Intelligence System, Digital Agency Launch, Service Business Blueprints, and Property Ownership Blueprint.
Personal Development and Spiritual Consulting: Ancestral Restoration (9-Week Program), Karmic Name Reading, 3 Pawol Consultation, and Employee to CEO coaching.
Community and Digital Access: Digital asset packages, online community platform access, and educational content delivery.
Referrals to third-party tools and professional services when appropriate.

SECTION 3. FEES AND PAYMENT
The fees for services are presented at the time of purchase or enrollment. Current pricing includes but is not limited to:

All payments are processed securely through Stripe. Tag 9 Inc. does not store credit card numbers directly.
Unless otherwise stated at the time of purchase, all fees are non-refundable. Monthly subscriptions may be cancelled with 30 days written notice to .moc.cni9gat%40tcatnoc Cancellation takes effect at the end of the current billing cycle.

SECTION 4. ELIGIBILITY
Our services are available to individuals who are 18 years of age or older. There is no upper age limit. Services are available to all genders, employment statuses, immigration statuses, and professional backgrounds. Our primary audience includes employees, gig workers, immigrants, first-time entrepreneurs, side hustlers, and service providers, though services are not limited to these groups.

SECTION 5. REGISTRATION AND ACCOUNT
Certain services may require you to create an account on our platforms or third-party platforms used for service delivery. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

SECTION 6. USE OF SERVICES
You agree to use our services in compliance with all applicable laws and regulations. You agree not to use our services for any unlawful purposes, misrepresent your identity or affiliation, interfere with the proper functioning of our services, redistribute or resell any content or materials without prior written consent, or use any information obtained through our services to harm others.

SECTION 7. ARTIFICIAL INTELLIGENCE AND DATA ANALYTICS
Tag 9 Inc. uses artificial intelligence and data analytics tools including Palantir Foundry to provide market intelligence, economic analysis, and content generation. You acknowledge that AI-generated insights are informational in nature and should not be considered as guaranteed outcomes, legal advice, or financial guarantees. All AI-assisted recommendations are based on publicly available economic data and proprietary analytical models.

SECTION 8. INTELLECTUAL PROPERTY
All content, including but not limited to text, graphics, logos, software, methodologies, frameworks (including the Tri-Score methodology, Employee to CEO framework, and all proprietary systems), training materials, and digital assets provided by Tag 9 Inc. is the exclusive property of the Company and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without prior written consent from Tag 9 Inc.

SECTION 9. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Tag 9 Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services, any unauthorized access to or use of our servers or any personal information stored therein, any interruption or cessation of service, any errors or omissions in content or materials, any actions taken based on information or recommendations provided through our services, or any third-party conduct or content.
Our total aggregate liability for any claims arising from this Agreement shall not exceed the total amount you paid to Tag 9 Inc. in the twelve months preceding the claim.

SECTION 10. RESULTS DISCLAIMER
Tag 9 Inc. provides intelligence, consulting, and educational services. Results vary based on individual effort, market conditions, prior experience, geographic factors, and numerous variables outside our control. We do not guarantee specific income levels, business outcomes, funding approval, credit scores, or investment returns. Any examples, case studies, or testimonials shared are illustrative and do not represent guaranteed results.

SECTION 11. DISPUTE RESOLUTION
Any disputes arising out of or relating to this Agreement or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
Before initiating arbitration, both parties agree to attempt good-faith resolution through written communication within 30 days of the dispute arising. Small claims court actions are excluded from this arbitration requirement.

SECTION 12. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

SECTION 13. CHANGES TO AGREEMENT
We reserve the right to modify this Agreement at any time. Material changes will be communicated through posting on our website and email notification to active clients. Your continued use of our services after changes are posted constitutes acceptance of the updated terms. If you disagree with changes, you may cancel your services by contacting us in writing.

SECTION 14. TERMINATION
We may terminate or suspend your access to our services immediately without prior notice if you breach any terms of this Agreement, engage in fraudulent or harmful activity, or fail to make required payments. Upon termination, your right to use the services will cease immediately. Sections regarding intellectual property, limitation of liability, dispute resolution, and governing law survive termination.
You may terminate this Agreement at any time by providing written notice to .moc.cni9gat%40tcatnoc Active subscriptions are subject to the cancellation terms in Section 3.

SECTION 15. PROFESSIONAL ADVICE DISCLAIMER
Our services include economic consulting, business intelligence, market research, spiritual consulting, and personal development guidance. We do not provide formal legal advice, licensed financial planning, tax preparation, medical advice, or licensed therapeutic services. We recommend consulting appropriately licensed professionals for legal, financial, tax, medical, or therapeutic needs. Tag 9 Inc. is a consulting and intelligence firm, not a law firm, accounting firm, or medical practice.

SECTION 16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Tag 9 Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of this Agreement, or your violation of any rights of a third party.

SECTION 17. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

SECTION 18. ENTIRE AGREEMENT
This Agreement, together with the Privacy Policy and any service-specific terms presented at the time of purchase, constitutes the entire agreement between you and Tag 9 Inc. and supersedes all prior agreements, understandings, and communications.

ACCEPTANCE OF AGREEMENT
By purchasing any service, enrolling in any program, or accessing any platform operated by Tag 9 Inc., you acknowledge that you have read, understood, and agree to be bound by this Assumption Agreement.
